Nexperia says requests for China financial data met no substantive response

Nexperia says it has provided extensive information to Wingtech and its auditor for the preparation of Wingtech’s 2025 annual accounts, but has received no substantive response to its own requests for financial information about Nexperia’s Chinese subsidiaries.

In a statement issued on 23 October, in response to questions from anonymous minority shareholders in Wingtech, Nexperia said it had prioritised the work on Wingtech’s annual accounts over its own audit for the 2025 financial year. The company also said it had provided Wingtech with monthly financial management information.

Wingtech’s auditor has issued a disclaimer of opinion on the group’s 2025 annual report, meaning it was unable to form an opinion on the accounts. Nexperia acknowledged the consequences of the disclaimer but said responsibility for the report rests with Wingtech’s leadership, including identifying and proposing measures to address the issues raised.

The dispute goes back to October 2025, when Nexperia brought proceedings before the Enterprise Chamber in Amsterdam. Nexperia says the aim was to address serious governance concerns, including a conflict of interest involving former CEO Zhang Xuezheng, who has since been suspended by the court. According to Nexperia, the proceedings were never intended to harm Wingtech’s shareholders.

Since then, Nexperia says it has repeatedly invited Wingtech’s leadership and Nexperia China to talks on restoring its supply chain, without receiving a constructive response. The company refers all questions about Wingtech’s motives and listing status to Wingtech.
