Axcelis and Veeco push merger closing to Q1 2027
Axcelis Technologies and Veeco Instruments now expect their all-stock merger to close by the end of the first quarter of 2027. The deal is still waiting for approval from China’s competition authority, SAMR, and the companies must also refile with US regulators.
The parties continue to work constructively with SAMR to obtain clearance, according to a joint press release from the two companies. They also stress that there is no guarantee the deal will close on the new timeline.
At the same time, the current US antitrust clearance under the Hart-Scott-Rodino Act is about to expire. Axcelis and Veeco therefore plan to make a new HSR filing shortly, and closing also depends on the waiting period for that filing expiring or ending early.
Under the merger agreement, each Veeco share will be converted into 0.3575 Axcelis shares at closing. Axcelis makes ion implantation equipment, while Veeco focuses on deposition and etch equipment for semiconductor and compound semiconductor manufacturing.
